TAHOE DONNER TENNIS CLUB BYLAWS
ARTICLE I – NAME
Section 1. The name of this club is the Tahoe Donner Tennis Club .
ARTICLE II – PURPOSE
Section 1. This Club is organized to accomplish the following purposes:
• To furnish pleasure and recreation to its members in connection with tennis.
• To foster, encourage, promote and create interest in the practice and enjoyment of the game of tennis.
• To assist in the organization of tennis tournaments, competitive play and social activities.
• To recommend Club rules, regulations and dress codes.
Section 2. The Club shall be operated exclusively for the purposes enumerated in Section 1 of this Article II, and its organization and activities are not designed for, and shall not result in, financial or pecuniary gain or profit for the members thereof.
Section 3. Notwithstanding anything to the contrary set forth herein, use of Tahoe Donner tennis courts by the Club and its Members shall be in accordance with the Rules and Regulations established by Tahoe Donner Association.
ARTICLE III – DIRECTORS
Section 1. The Club shall be governed and managed by a Board of Directors consisting of seven (7) to nine (9) of its Full Members, who are currently Tahoe Donner Association property owners (defined as holders of Tahoe Donner Association amenity-access member identification cards). The Director of Tennis will attend meetings, when available, in an advisory position.
Section 2. A Director shall serve a term of two (2) years, or until their successor is elected or the Director resigns. Candidates for election to the Board shall be nominated from among the Club’s Full Members by any Full Member, including the candidate, him/herself, during the month of August before the annual membership meeting. The years shall be staggered by alternating elections of four (4) to five (5) directors one year and three (3) to four (4) the next year.
Section 3. A Director may resign for any reason by tendering notice of such to the Board. Immediately upon a Director’s loss of Full-Member status (e.g., is no longer a Tahoe Donner property owner), his/her Director’s seat shall be declared vacant. Vacancies on the Board shall be filled by majority vote of the remaining Directors appointing any Full Member of the Club to serve until his/her successor is elected at the next annual meeting, or until he/she resigns.
Section 4. Meetings of the Board shall be held at least once a month during the playing season at such place as the Directors may determine. Special meetings of the Board may be called by the President or any three (3) Directors. A majority of the Directors then serving on the Board shall constitute a quorum for the transaction of business.
Section 5. Not less than thirty (30) days or more than sixty (60) days before the annual meeting, the President of the Club shall select a nominating committee of three (3) regular members, who shall receive nominations of members to be elected at the next ensuing annual election and who shall present such nominations to the membership at the annual meeting.
ARTICLE IV – OFFICERS
Section 1. The officers of the Club shall be a President, a Vice President, a Treasurer, a Secretary, and a Membership Chairperson. Said officers shall be appointed by the Board from among the Directors.
Section 2. The President shall preside at all meetings of the Board and of the membership.
Section 3. The Vice President, in the absence of the President, shall preside at all meetings of the Board and of the membership.
Section 4. The Treasurer shall maintain adequate records of, and be ultimately responsible for, all funds and accounts of the Club. All checks issued by the Club shall be signed by the Treasurer and approved by an other officer.
Section 5. The Secretary shall keep the minutes of all meetings and take care of all correspondence of the Club and the Board of Directors.
Section 6. The Membership Chairperson shall establish a membership roster, update as needed, and shall collect membership dues.
Section 7. Should a vacancy occur in the office of President, such vacancy shall be filled by the election of the membership at a special meeting, called for the purpose of filling such vacancy. Should a vacancy occur in any other office, such a vacancy shall be filled by appointment by the Board of Directors.
ARTICLE V – MEMBERSHIP
Section 1. The Club shall have two classes of membership: Full Members include those who own residential property within Tahoe Donner and their immediate family members (holders of amenity-access member identification cards); Associate Members shall be limited to long-term renters and those Tahoe Donner employees and concessionaire’s personnel who qualify for court privileges. All Tahoe Donner property owners are eligible for membership in the Club so long as all Club dues are paid.
Section 2. At least sixty percent (60%) of the Club’s membership shall at all times be Full Members. No new Associate Members shall be permitted to join while Full Members number less than 60% of the total membership.
Section 3. Each Full Member of the Club shall be entitled to have one (1) vote at Club elections or at any meeting at which a vote may be taken regarding the Club’s affairs. Each family membership shall have two (2) votes. Associate Members shall have no voting rights.
Section 4. Membership in the Club is not transferable.
Section 5. Any member who fails to pay annual dues is automatically dropped from membership.
Section 6. Each application for new membership shall be accompanied by payment of the annual dues.
Section 7. The Board of Directors shall determine the annual dues and tournament fees.
Section 8. The Board of Directors shall set the policy for collecting dues and fees.
Section 9. Following reasonable notice and an opportunity to be heard, the Board may revoke the membership of any Member whose conduct is determined to be contrary to the best interests of the Club.
ARTICLE VI – MEMBERSHIP MEETINGS
Section 1. Special meetings of the membership shall be called by the President, by three (3) Directors or by written request of ten (10) of its Full Members. Notice of the time, place and purpose of such special meeting shall be posted at the Tennis Center at least fourteen (14) days in advance thereof.
Section 2. Notice of membership and Board meetings shall be given to all Members, if reasonably practicable, at least fourteen (14) days in advance thereof.
Section 3. Those Full Members present at any membership meetings shall constitute a quorum for the transaction of business, provided that at least any two (2) officers or those members who called the meeting are present.
Section 4. The annual meeting of the membership shall be held during the month of August each year, at such time and place as may be determined by the Board, for the purpose of electing Directors and conducting other appropriate business. The Board shall then appoint officers at the next general meeting of the Board .
ARTICLE VII – COMMITTEES
Section 1. All committees of the Club shall be established, and their members shall be appointed, by the President.
Section 2. The Board shall determine the responsibilities and authority of all committees.
Section 3. The Board shall audit each year, and if in order, approve the expenditures made by the Treasurer.
ARTICLE VIII – AMENDMENT
Section 1. These Bylaws shall only be amended by the affirmative vote of at least two-thirds (2/3) of the Full Members present at a duly called meeting of the membership; notice of the proposed amendment shall be provided in the notice by which the meeting is called.
ARTICLE IX – EFFECTIVE DATE
Section 1. These Bylaws shall become effective upon their approval by the Tahoe Donner Association Board of Directors and adopted by Tahoe Donner Tennis Club’s Board of Directors.
Section 2. Amendments to these Bylaws shall become effective upon their approval by a majority of the Club’s Full Members who are present and voting at the Annual Meeting or at a scheduled meeting and the Tahoe Donner Association Board of Directors.
